DEALMAKER OF THE YEAR

INVESTMENT bankers have had a difficult year, with London’s IPO market virtually closed, and M&A deals few and far between. Our fourth short-list for the third annual City A.M. awards, though, highlights some superb individual performances in such difficult markets.

Jonathan Rowley, for example, was on at least three M&A deals in just one week in the spring, and helped UBS stamp its imprint on the deal market again.

Richard Girling bangs the drum for the independent boutiques banks which are showing signs of eating into the market share of deal revenues of the larger banks. Girling showed the worth of long-term relationship banking. When Alliance Boots wanted to sell itself, it returned to one of the bankers who had managed its buy-out several years ago.

Rupert Hume-Kendall of Bank of America Merrill Lynch is simply one of the City’s most experienced dealmakers. He’s a powerful force who has remained a key figure at the US bank while there’s been turbulence and change all around him. Michael Klein makes the list for putting together the Glencore/Xstrata deal.

Richard Girling
Centerview

Richard Girling gets a place in our short-list thanks to his involvement in the sale of 45 per cent of Alliance Boots to Walgreen’s. Girling joined Centerview from Merrill Lynch in London where he established that firm’s European healthcare practice in 1998. Girling has advised on many of the largest healthcare transactions in Europe including: Sanofi-Synthelabo's $73bn acquisition of Aventis, the $24bn LBO of Alliance Boots and AstraZeneca in its $15bn acquisition of MedImmune. Mayne Pharma's $2 billion sale to Hospira, Alliance Unichem in its $12 billion merger with Boots, CSL in its acquisition of Aventis Behring, and numerous transactions for Roche.

UBS

Jonathan Rowley of UBS had a massively productive year. Rowley advised on Vodafone's £1bn acquisition of Cable & Wireless Worldwide, PTT's proposed acquisition of Cove Energy and Diageo's acquisition of a controlling stake in ShuiJingFang in China. He has been busy through a period of difficult market conditions, using different transaction structures, an electronic auction, UK public company acquisitions and defences, and a hostile acquisition of a subsidiary.

The veteran deal-maker started the year with a triumph, opening up the London IPO market for the Russian oil and gas company Ruspetro. Later on in the year, Rupert Hume-Kendall helped Bank of America Merrill Lynch execute one of the largest block trades of the year, the sale of a £1.2bn package of Reckitt Benckiser shares to a broad collection of institutions. He’s also been successfully advising venture capital group 3i on its defence against dissident shareholder Laxey Partners.

Michael Klein
M Klein & Co

The Glencore Xstrata merger is being advised on by a plethora of bankers but no single one played a more crucial role than the independent former Citigroup deal-maker Michael Klein. For it was Klein who got the main protagonists, Glencore's Ivan Glasenberg and Xstrata's Mick Davis, together in the first place to agree on an initial deal price. Klein was a 23-year Citigroup veteran, who arranged Abu Dhabi Investment Authority's $7.5bn capital injection in the firm in 2007.

He left the following year when he missed out on the top job of running the bank's combined investment bank and asset management business - the institutional clients group.

A few months after his departure, Klein was instrumental in Barclay's (BARC.L) acquisition of Lehman Brothers, for which he earned a fee estimated by bankers involved at some $10 million.

Mark Sorrell
Goldman Sachs

Having been promoted to co-head of the UK investment banking business in May 2011, Mark Sorrell has had a busy year. He played an instrumental role in advising Walgreen’s on its two-part $28bn purchase of Alliance Boots, the pharmacy chain, and he also advised Glaxo on the $3bn sale of non-core over the counter brands outside the US and Europe. He joined Goldman Sachs in 1994 as an analyst in London. He is the son of Sir Martin Sorrell, the chief executive of WPP.

Healthcare Group in New York from 1996 until 1997 and spent the following three years in the Advisory Group in London. In 2000, Mark worked in the Equity Capital Markets Group in New York and in 2001, he became a vice president and returned to London to work on the UK Coverage team. He joined the Natural Resources Group in 2007 and was chief operating officer of the group in EMEA. Prior to assuming his current role in 2011, Mark was co-chief operating officer of UK Investment

Banking.
